Vidyasage Labs ("Vidyasage Labs", "Velvuri", "we", "our", or "us") owns and operates the Velvuri Platform and related Services (collectively, the "Platform"). These Terms & Conditions ("Terms") govern access to and use of the Platform, however accessed or made available, whether purchased directly, sponsored by an institution or organization, provided through a partner, reseller, or white-label arrangement, or otherwise made available by Vidyasage Labs, now or in the future.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform. Where access is provided through an Institutional Customer, these Terms apply in addition to, and do not replace, any separate agreement between Vidyasage Labs and that Institutional Customer.
Use of the Platform is also governed by Velvuri's Privacy Policy, Honor Code, and, where applicable, the Refund Policy, each of which forms part of these Terms.
You agree that Vidyasage Labs may communicate with you electronically, including by email and through notices posted on the Platform, and that such electronic communications satisfy any legal requirement that communication be in writing.
These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.
This document, together with the Privacy Policy, Honor Code, and Refund Policy, may be amended from time to time as the Platform, its user base, and its commercial arrangements evolve.
Where a User or Institutional Customer's access is governed by more than one document, the following order of precedence applies to the extent of any conflict: (1) a signed enterprise or institutional agreement, Order Form, or Statement of Work between Vidyasage Labs and the Institutional Customer; (2) these Terms; (3) the Privacy Policy; (4) the Honor Code; (5) the Refund Policy. A more specific document does not override a more senior one except to the extent it is expressly permitted to do so.
Nothing in these Terms shall be interpreted as creating any partnership, joint venture, employment, agency, or fiduciary relationship between Vidyasage Labs and any User, Institutional Customer, or other third party, unless expressly agreed in writing.
The Platform supports professional development, learning, assessments, analytics, opportunity discovery, recruitment, institutional deployments, organizational learning, employee development, AI-assisted services, certifications, coaching, reporting, networking, profile management, talent discovery, and related services, currently or in the future, including without limitation educational content, professional judgment development, learning tools, recommendations, employer visibility, internships, placements, professional networking, organization onboarding, enterprise deployments, partner offerings, APIs, mobile applications, and future products and related services.
"Platform" means the Velvuri website, application, and related Services, however accessed, and however those Services may evolve over time.
"Services" means the features, functionality, content, and capabilities made available through the Platform, currently or in the future.
"Institutional Customer" means any educational institution, organization, employer, business entity, government body, nonprofit organization, partner, or other entity that purchases, sponsors, administers, or otherwise provides access to the Platform, whether directly, through enterprise licensing, partner agreements, reseller arrangements, white-label deployments, or similar commercial arrangements.
"Platform Content" means all content made available through the Platform other than User Submissions, including without limitation scenarios, assessments, questions, answers, explanations, methodologies, frameworks, recommendations, reports, analytics, scoring systems, datasets, benchmarks, databases, software, source code, user interface, visual designs, branding, logos, documentation, text, graphics, audio, video, automated outputs, AI-assisted outputs, and all related content and materials.
"User Submissions" means responses, written answers, decision explanations, uploads, resumes, portfolios, profile information, messages, feedback, and other content submitted through the Platform by a User.
"User" means any individual accessing or using the Platform, including students, professionals, employees, recruiters, administrators, mentors, and other authorized users.
The Platform is intended primarily for Users satisfying the Platform's minimum eligibility requirements. Independent registrations require Users to confirm that they are at least the age required to lawfully consent to the processing of their personal data under the law of their jurisdiction, and in any event not younger than the absolute minimum age stated in the Privacy Policy.
Institution-sponsored access may include eligible Users below the age of 18 where permitted by applicable law and supported by appropriate institutional or parental consent.
By creating an account, Users agree to provide accurate and complete information, keep account credentials secure, and accept responsibility for all activity conducted under the account.
Accounts are personal to the User unless expressly authorised otherwise. Users must not share, lend, rent, sublicense, or transfer account credentials, or otherwise permit unauthorized third-party access. Violation may result in suspension or termination of access without refund, where permitted by applicable law.
Vidyasage Labs may suspend or restrict accounts where it reasonably believes these Terms, the Honor Code, have been violated, where required by an applicable Institutional Customer arrangement, or where necessary to protect the security or integrity of the Platform.
Where Platform access is sponsored, purchased, or administered by an Institutional Customer, the commercial terms of that relationship, including scope, duration, pricing, and rollout, are governed by a separate agreement or proposal. These Terms govern a User's conduct on the Platform and do not override any conflicting term in that separate agreement, to the extent such conflict exists.
Institutional Customers may administer sponsored accounts according to Platform functionality and their applicable agreements. License transfers and related administrative arrangements are subject to Vidyasage Labs' policies then in force.
All Platform Content is owned by Vidyasage Labs or its licensors and protected by applicable intellectual property laws. Users are granted a limited, personal, revocable, non-exclusive, non-transferable licence to access and use Platform Content solely for their own or their institution's or organization's authorized use of the Platform.
Unless expressly permitted, Users must not reproduce, copy, modify, translate, adapt, redistribute, republish, archive, commercially exploit, sell, sublicense, or create derivative works from Platform Content; scrape, crawl, harvest, or extract datasets from the Platform; reverse engineer or attempt to recreate Platform Content, methodologies, or underlying systems; use Platform Content to train, fine-tune, evaluate, or improve any automated system, artificial intelligence model, machine learning model, or similar technology; build competing products using Platform Content; or otherwise misuse Platform Content. This prohibition applies regardless of whether the intended use is commercial or non-commercial.
Where a User exports or downloads any report, score, or other output made available through the Platform, that export does not transfer any intellectual property rights in the underlying Platform Content, and the licence and restrictions in this Section continue to apply to the exported material.
Vidyasage Labs expressly reserves all rights not explicitly granted in these Terms. Nothing in these Terms grants any ownership interest in the Platform or Platform Content.
In addition to the restrictions in Section 9, Users must not use the Platform to cheat, impersonate another person or entity, create or use fake accounts, deploy bots, scrapers, or other automated access tools without authorization, distribute malware, engage in phishing or other abusive behaviour, conduct unauthorized security testing, gain unauthorized API access, or otherwise attempt to compromise the security, integrity, or lawful operation of the Platform. Additional integrity requirements specific to scenarios, assessments, and judgment exercises are set out in the Honor Code.
Vidyasage Labs may investigate and take appropriate action, including suspension or termination of access, where it reasonably believes this Section, Section 9, or the Honor Code has been violated.
Users retain ownership of the intellectual property rights they hold in their own User Submissions. By submitting content through the Platform, Users grant Vidyasage Labs a broad, worldwide, non-exclusive, royalty-free licence to store, process, analyse, index, display, reproduce where necessary, and otherwise use User Submissions to operate, improve, validate, secure, test, analyse, and enhance the Platform and related Services, including through automated and AI-assisted means, provided that any personally identifiable information within User Submissions is handled in accordance with the Privacy Policy and applicable law.
This licence does not constitute an assignment or transfer of any intellectual property rights a User may hold in their own User Submissions.
Users may submit feedback, suggestions, or ideas regarding the Platform. Any feedback submitted may be used by Vidyasage Labs to maintain, operate, and improve the Platform without obligation or compensation to the User, and without any confidentiality obligation on Vidyasage Labs' part with respect to that feedback.
The Platform may, currently or in the future, use automated technologies, including artificial intelligence, machine learning, or similar systems, to assist in generating, scoring, or providing feedback on scenarios, assessments, or other Platform Content, together with human oversight and editorial review where appropriate. Where any such feature is used to generate a score or evaluate a User's submission, that output is intended to support, not replace, independent judgment or professional decision-making, and does not constitute a professional, academic, or employment determination.
Vidyasage Labs does not guarantee the accuracy, completeness, or consistency of any automated or AI-assisted output. While Vidyasage Labs exercises reasonable care in developing and maintaining Platform Content, no representation or warranty is made that all content will always be complete, accurate, current, or free from error. Despite reasonable efforts, such output may contain inaccuracies, omissions, or errors. Users are encouraged to report such issues to HELLO@VELVURI.COM, after which they may be reviewed and addressed as appropriate. This does not create any obligation to correct an issue within a specific timeframe or guarantee any particular outcome.
Where an AI-assisted feature meaningfully affects a User, Vidyasage Labs will, where reasonably practicable and where required by applicable law, provide a means to request human review of that output.
Scores, progress indicators, and performance insights generated by the Platform, whether AI-assisted or otherwise, are indicative and intended for self-evaluation and learning purposes only, and must not be treated as definitive measures of ability or qualification. Reasonable professionals, educators, or subject-matter experts may occasionally reach different conclusions or prioritize different approaches when evaluating complex scenarios. Differences in judgment do not necessarily indicate that a scenario, explanation, or evaluation is incorrect.
The Platform is intended to supplement, and not replace, formal education, classroom instruction, institutional curricula, professional training, academic materials, or independent learning.
Vidyasage Labs does not guarantee examination success, interview success, employment, offers, placements, internships, recruiter responses, networking outcomes, business opportunities, certifications, promotions, income, career advancement, or any other particular outcome from use of the Platform. Employer participation, job postings, hiring opportunities, and recruitment activity depend upon independent decisions made by participating organizations and market conditions, both of which are outside Vidyasage Labs' control. Any engagement between a User and an employer, recruiter, or other third party arising from use of the Platform is independent of Vidyasage Labs.
The Platform may be made available on a free, trial, promotional, paid subscription, or licensed basis, including monthly, annual, usage-based, institutional, enterprise, or partner-based commercial arrangements, currently or in the future. Where the Platform is offered on a paid basis, fees, billing terms, and payment methods will be set out in the applicable proposal, agreement, or account arrangement. Payments may be processed directly by Vidyasage Labs or through authorised third-party payment service providers.
Refunds, where applicable, are governed exclusively by Velvuri's Refund Policy.
Vidyasage Labs aims to provide a reliable Platform, but the Platform may be subject to maintenance, upgrades, interruptions, outages, delays, inaccuracies, evolving functionality, beta or preview features, and other technical issues. Nothing in these Terms creates a guarantee regarding uptime, availability, accuracy, uninterrupted operation, or any particular outcome.
Vidyasage Labs may add, remove, modify, or discontinue Platform features at any time without creating any obligation to continue supporting a particular feature, workflow, or functionality.
Where Vidyasage Labs determines that a significant service interruption has materially affected delivery of purchased Services, it may, at its discretion, or where required by applicable law or a separate agreement, provide an extension, service credit, or other appropriate remedy. This Section does not constitute a service level agreement or guarantee of uptime.
Certain features may be identified as alpha, beta, preview, experimental, or similar. Such features are provided without any representation regarding availability, continuity, or performance.
Users are responsible for protecting their account credentials, safeguarding one-time passwords, securing their own devices, maintaining account confidentiality, and verifying that communications claiming to originate from Vidyasage Labs are genuine. Vidyasage Labs is not responsible for phishing, scams, impersonation, fake payment requests, fraudulent communications, credential theft, malware, compromised User devices, social engineering attacks, or other incidents outside its reasonable control.
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Vidyasage Labs disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Vidyasage Labs does not warrant that the Platform will be uninterrupted, timely, secure, or error-free.
To the maximum extent permitted by applicable law, neither party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, opportunities, or goodwill, arising from or related to these Terms or use of the Platform, whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility of such damages.
Each party's aggregate liability arising from or related to these Terms or use of the Platform shall not exceed the amount, if any, paid by the User or applicable Institutional Customer to Vidyasage Labs in the twelve months preceding the event giving rise to the claim, except that liability arising from intellectual property infringement or breach of confidentiality obligations may be subject to a different limit as expressly set forth in the applicable Institutional Customer agreement.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Each party agrees to indemnify and hold harmless the other, and its officers, employees, and licensors, from any claims, damages, liabilities, and expenses, including legal fees, arising from: (a) the indemnifying party's gross negligence or willful misconduct; (b) the indemnifying party's breach of these Terms or violation of applicable law; or (c) the indemnifying party's infringement of the other party's intellectual property rights.
Where a claim under this Section arises from intellectual property infringement, the indemnifying party may, at its own expense, procure the right for the other party to continue using the affected item, replace or modify it to be non-infringing, or, if neither is commercially reasonable, terminate the affected arrangement, in which case any prepaid fees for the unused portion of the affected Service will be refunded.
Each party may have access to the other's confidential business information, including pricing, commercial terms, proposals, negotiations, policies, and technical or business know-how ("Confidential Information"). Each party agrees to use the other's Confidential Information only as necessary to perform under these Terms or an applicable agreement, and to protect it with at least the same degree of care it uses to protect its own confidential information, and no less than reasonable care.
Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party without an obligation of confidentiality, is independently developed without reference to the disclosing party's Confidential Information, or must be disclosed by law, provided the receiving party gives the disclosing party reasonable notice where legally permitted.
This Section survives termination of these Terms for three years, except that obligations relating to trade secrets survive for as long as the information remains a trade secret under applicable law.
Vidyasage Labs reserves all legal and equitable remedies available under applicable law, including suspension, termination, injunctive relief, damages, recovery of legal costs, and any other remedy available under applicable law.
The Platform may link to or integrate with third-party tools and services. Those providers operate under their own terms and privacy policies. Vidyasage Labs is not responsible for the content, accuracy, or practices of third-party services.
The Platform may use cookies, analytics technologies, performance monitoring tools, security technologies, and similar mechanisms to operate, secure, personalise, and improve the Platform. Detailed treatment of cookies and tracking technologies is set out in the Privacy Policy.
Although the Platform currently operates primarily in India, the Services are intended to expand internationally over time. Users accessing the Platform from outside India do so on their own initiative and are responsible for compliance with applicable local laws.
Vidyasage Labs shall not be liable for any failure or delay in performance under these Terms resulting from events beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, governmental action, internet or telecommunications failures, power outages, or failures of third-party service providers.
Where such an event continues for a period exceeding thirty (30) consecutive days and materially prevents delivery of a paid Service, the affected User or Institutional Customer may terminate the affected arrangement upon written notice, and Vidyasage Labs will refund any prepaid fees for the portion of the Service not delivered as a result of that event.
Users may cease use of the Platform at any time. Vidyasage Labs may suspend or terminate a User's access, with or without notice, where it reasonably believes these Terms or the Honor Code have been violated, where required by an applicable Institutional Customer arrangement, upon expiry or termination of an applicable service arrangement, or where necessary to protect the security, integrity, or lawful operation of the Platform. Vidyasage Labs may suspend access during investigation of suspected misuse without this constituting a breach of these Terms.
Where Vidyasage Labs terminates an Institutional Customer's arrangement for its own convenience, and not for the Institutional Customer's breach or fault, Vidyasage Labs will refund a pro-rata portion of any prepaid fees for the unused remainder of the then-current term.
Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and confidentiality survive termination.
Any claim arising out of or relating to these Terms or use of the Platform must be brought within one year after the claim arose, or it is permanently barred, except where applicable law requires a longer period.
Neither party may assign these Terms without the other's prior written consent, except that Vidyasage Labs may assign these Terms without consent to a subsidiary or parent entity, a successor by merger or reorganisation, or an acquirer of substantially all of its relevant assets, provided the assignee agrees in writing to assume Vidyasage Labs' obligations under these Terms.
Vidyasage Labs may disclose information where required to do so by applicable law, regulation, court order, or governmental request, consistent with the disclosure practices described in the Privacy Policy.
Vidyasage Labs may modify, suspend, or discontinue any aspect of the Platform, and may amend these Terms, at any time, including as the Platform, its user base, and its commercial arrangements evolve. These Terms will continue to apply to future products, APIs, applications, and related services unless a separate agreement expressly applies. Amendments take effect upon publication, accompanied by an updated "Last Updated" date. Where changes are material, Vidyasage Labs will notify Users via the Platform or by email, with reasonable advance notice where practicable.
For an Institutional Customer with an existing paid arrangement, a material change to these Terms will not apply to that arrangement until its next renewal or the execution of a new order, whichever comes first; the version of these Terms in force at the start of the current term continues to apply until then. For all other Users, continued use of the Platform following publication of an amendment constitutes acceptance of the amended Terms.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with the Privacy Policy, Honor Code, Refund Policy, and any applicable Institutional Customer agreement, constitute the entire agreement between the parties regarding use of the Platform.
